1. Agreement to Terms

By accessing or using our services, you confirm that you are at least 18 years of age, have read and understood these Terms and Conditions, and agree to be bound by them. If you do not agree, please do not use our services.

2. Services

Innovasoft Technologies provides digital services including but not limited to logo design, web design and development, branding, content writing, SEO, social media marketing, motion graphics, illustration, back-end development, and app design and development. Specific deliverables, timelines, and pricing are agreed upon in individual project proposals or service agreements.

3. Payment Terms

• All prices are listed in USD unless otherwise specified.
• A deposit (typically 50%) is required before work commences on custom projects.
• The remaining balance is due upon project completion before final files are released.
• Recurring service fees (SEO, Social Media, Content) are billed monthly in advance.
• All payments are non-refundable once work has commenced, except as outlined in our refund policy.

4. Refund Policy

• Logo & Design Services: A full refund is available if requested before the first concept is delivered. After delivery, refunds are at our discretion.
• Web & App Development: Deposits are non-refundable. Partial refunds may be issued for uncompleted milestones at our discretion.
• Monthly Services (SEO, SMM, Content): Cancellations must be submitted 30 days in advance. No partial-month refunds.
• Our money-back guarantee applies to specific package tiers as advertised and is subject to our review process.

5. Client Responsibilities

To ensure timely delivery of services, clients agree to:

• Provide all necessary materials, content, and feedback within agreed timeframes
• Designate a point of contact with authority to approve deliverables
• Respond to requests within 5 business days to avoid project delays
• Ensure all provided materials do not infringe third-party intellectual property rights

6. Intellectual Property

• Client Ownership: Upon receipt of full payment, clients receive full ownership of final deliverables created specifically for them.
• Our Rights: We retain the right to display completed work in our portfolio unless the client requests otherwise in writing.
• Third-Party Assets: Stock images, fonts, or software used in projects may be subject to their own licensing terms. We will notify clients of any additional licensing requirements.
• Pre-Payment: All work remains the intellectual property of Innovasoft Technologies until full payment is received.

7. Revisions

The number of revisions included in each package is outlined at the time of purchase. Revisions beyond the included allowance will be billed at our standard hourly rate. Major scope changes may require a new proposal and agreement.

8. Turnaround Times

All turnaround times are estimates based on prompt client communication and timely feedback. Delays caused by late feedback, incomplete briefs, or extended approval periods are the client’s responsibility and may extend delivery timelines.

9. Limitation of Liability

To the fullest extent permitted by law, Innovasoft Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation does not apply to information that is publicly available or required to be disclosed by law.

11. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed to date. We reserve the right to immediately terminate services for non-payment or breach of these terms.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with applicable law. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the relevant courts.

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new terms.
